6. DISPUTE RESOLUTION; BINDING ARBITRATION
PLEASE READ THIS SECTION CAREFULLY. IT REQUIRES YOU AND GOLDEN ALLIES TO RESOLVE DISPUTES THROUGH BINDING INDIVIDUAL ARBITRATION RATHER THAN IN COURT. YOU WAIVE YOUR RIGHT TO A JURY TRIAL AND TO PARTICIPATE IN CLASS ACTIONS.
(a) No Class Actions. Any dispute or claim between you and Golden Allies is personal to you and Golden Allies and shall be resolved solely through individual action. No dispute may be brought as a class arbitration, class action, or any other type of representative proceeding.
(b) Informal Resolution. Before initiating arbitration, you agree to first contact Golden Allies in writing describing the nature and basis of the dispute and the specific relief sought. We will attempt to resolve the dispute informally within thirty (30) days of receiving your notice. If we cannot reach resolution within that period, either party may proceed to arbitration.
(c) Arbitration Procedures. All unresolved disputes shall be submitted to binding arbitration administered by the American Arbitration Association (“AAA”) under its Consumer Arbitration Rules or Commercial Arbitration Rules, as applicable. Arbitration proceedings shall be held in Shawnee County, Kansas, unless the parties agree in writing to another location. The arbitrator shall have exclusive authority to resolve disputes relating to the interpretation or enforceability of these Terms, and may only conduct individual arbitrations.
(d) Governing Law. These Terms and any dispute arising hereunder shall be governed by and construed in accordance with the laws of the State of Kansas, without regard to conflict of law principles. For any dispute not subject to arbitration, you consent to the exclusive jurisdiction of the state and federal courts located in Shawnee County, Kansas.
(e) Arbitration Costs. Costs of arbitration shall be governed by the AAA’s applicable fee schedules. If you initiate arbitration of a consumer dispute, you agree to pay the applicable AAA consumer filing fee, and Golden Allies will pay the remaining AAA fees and costs. If the arbitrator finds a claim or relief sought to be frivolous or brought for an improper purpose, payment of all fees shall be governed by AAA rules.
(f) Opt-Out Right. You have the right to opt out of binding arbitration within thirty (30) days of first accepting these Terms by sending written notice to Golden Allies at the contact information below. Your opt-out notice must include your full name and address and clearly state your intent to opt out. Opting out does not affect any other provision of these Terms.
(g) Severability. If any portion of this Section 6 is found to be unenforceable, the unenforceable provision shall be severed from these Terms, and the remaining provisions of this Section shall continue in full force.
7. NO WARRANTY
THE SITE AND ALL MATERIALS ARE PROVIDED ON AN “AS IS” AND “AS AVAILABLE” BASIS WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS OR IMPLIED. TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, GOLDEN ALLIES EXPRESSLY DISCLAIMS ALL WARRANTIES, INCLUDING BUT NOT LIMITED TO IMPLIED WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT.
